intends to invest the net proceeds in an identified portfolio of U.K. ground
based solar power plants.
MAIN FACTS:
-Initial public offering by way of a placing and offer for subscription of up
to 200 million ordinary shares of no par value at a price of 100 pence per
ordinary share.
-Binding commitments in place to acquire eight solar parks, totalling 145.4
megawatt (MW) of capacity and including the two largest solar parks in the U.K.
-Will seek admission of its shares to the premium listing segment of the
Official List of the U.K. Listing Authority and for all such shares to be
admitted to trading on the main market of the London Stock Exchange.
-Admission to the official list and commencement of dealings on the London Stock
Exchange will commence from Oct. 29.
-Should investor appetite exceed the proposed 200 million Ordinary Shares,
there is an option to extend the Issue by an additional 50 million ordinary
shares.
-RBC Capital Markets has been appointed as sole global co-ordinator, sponsor
and bookrunner to the company.
-Winterflood Securities Limited has been appointed as the co-lead manager.
